TERMS AND CONDITIONS OF YOUHORSE AUCTION 2020

 

Article 1 – Registration for and participation in the auction

  1. Youhorse.auction is an online auction for jumping horses (hereinafter “the Auction”) organised by the private company Jumping Talent Sale B.V., having its registered office in Waddinxveen (the Netherlands) and registered with the Chamber of Commerce under number: 61846082, email: info@jumpingtalentsale.nl (hereinafter “Jumping Talent Sale”).
  2. The Auction will take place on the website www.youhorse.auction (hereinafter “the Website”). The dates and the starting and closing time(s) of the Auction will be posted on the Website. The duration of the Auction will also be indicated in advance on the Website. If a bid is made during the last five minutes before the indicated closing time of the Auction, the closing time will (each time) be extended by five minutes. The final closing will then take place five minutes after the last bid.
  3. Jumping Talent is not the owner of the Horses offered for the Auction, unless this is explicitly mentioned on the Website. Jumping Talent Sale acts as an auctioning service and offers a platform on which potential buyers or interested parties are offered the possibility of buying jumping horses from the owner directly. Jumping Talent Sale is not a party to the sale and purchase agreement between the seller and the buyer, unless the Website explicitly mentions that the Horse is owned by Jumping Talent Sale.
  4. Participation in the Auction for potential buyers is permitted only for natural persons and legal persons who have registered on the Website before the start of the Auction and have truthfully completed the accompanying questionnaire and who therefore have an account. 
  5. Participation in the Auction implies that the buyer agrees, expressly and without any reservation, with these terms and conditions of auction and with the chargeability of the auction costs at a rate of 10% and 21% VAT (if applicable) on the hammer price.
  6. The applicability of any general terms and conditions of the buyer is expressly rejected.
  7. The horses selected by Jumping Talent Sale to be offered during the Auction can be viewed before the start of the Auction on the Website by means of videos and pictures showing the horses (under saddle). Written information will also be posted on the website about the most important features of the horses (e.g. age, sex, colour and pedigree).
  8. Potential buyers or interested parties are free to inspect and/or try out the horses under saddle before Auction at the location of Jumping Talent Sale. For this purpose an appointment must be made in advance by email (info@​youhorse.​auction.​com).

 

Article 2 – The offer 

Manifest mistakes or manifest errors in the offer of the horses, for instance as a result of typos or misprints, shall not bind Jumping Talent Sale and the owners of the horses and no rights can be inferred from them.

 

Article 3 – Bids and purchase

  1. All bids and payments are made in EURO.
  2. When placing a bid, the person in whose name the account was created is deemed to be bidding for him-/herself and he/she is personally liable for the obligations resulting from his/her bid. If the bidder declares that he/she is acting on behalf of a third party, he/she shall continue to be fully liable to Jumping Talent Sale in addition to such third party. 
  3. During the Auction the horses will be sold by bidding. 
  4. The bidding increments during the Auction are as follows (all the amounts mentioned are exclusive of VAT): 
    EUR 500.00 per offer up to EUR 20,000.00
    EUR 1,000.00 per offer from EUR 20,000.00 up to EUR 40,000.00
    EUR 2,000.00 per offer from EUR 40,000.00 up to EUR 60,000.00
    EUR 5,000.00 per offer from EUR 60,000.00 onwards.
  5. If desired, Jumping Talent Sale can start with an opening bid of more than EUR 0.00.
  6. Once a bid for a horse has been made, this bid will remain valid until a possibly higher bid has been accepted.
  7. If the server of the Website awards the horse to the bidder, the purchase will take place and the bidder must pay the hammer price including VAT (if applicable) and the applicable auction costs to Jumping Talent Sale.
  8. The amount to be paid by the buyer will be calculated as follows:

Purchase price excluding VAT (hereinafter “the Purchase Price”)

 

Article 4 - Payment

  1. Jumping Talent Sale shall send the buyer an invoice for the Purchase Price (whether or not increased by VAT). 
  2. An invoice of Jumping Talent Sale must always be paid, without any suspension or set-off, in the currency of the invoice within seven (7) days after the invoice date, which is a firm date (meaning that in the case of non-payment within that period the buyer will be in default), into the bank account of Jumping Talent Sale with IBAN number NL21 INGB 0006 6723 69 in the name of Jumping Talent B.V. and with Swift code BIC INGBNL 2a.
  3. If the buyer fails to pay an invoice in time, the buyer shall be in default by operation of law and he/she shall owe interest for overdue payment of 1% per month, taking into account that a part of a month shall be considered as a full month.
  4. All the judicial and extrajudicial costs to be incurred by Jumping Talent Sale in order to collect its invoices shall be for the buyer’s account. Extrajudicial costs shall be charged to the buyer at a flat rate of 15% of the amount to be collected, with a minimum of EUR 250.00.

 

Article 5 – Acceptance of the horses

  1. The horses are auctioned “as is, where is” or “in the state in which – and how and where – they are” at the time of Auction.
  2. Jumping Talent Sale does not give any guarantee with respect to the horse’s future sporting abilities or state of health. All the risks in this respect are the sole responsibility of the buyer.
  3. Before the Auction all horses will have been examined clinically and with the help of X-rays by a veterinarian at the instructions of the owners of the horses. The X-ray images made within that context can be viewed, downloaded and stored by everyone for their own use before the Auction on the Website. In addition, the horse will have been clinically examined again by a veterinarian in the week before the Auction. The reports of the clinical examinations prepared within that scope can also be accessed by everyone and can be checked on and downloaded from the Website by everyone and also be stored for own use.

 

Article 6 – Delivery and performance

  1. All the risks of the horse shall pass to the buyer immediately after the bid has been allocated.
  2. The ownership of the horse shall pass to the buyer as soon as the buyer has paid everything he/she owes to Jumping Talent Sale under the agreement(s) concluded within the scope of the Auction.
  3. After the Auction and the receipt of the Purchase Price (whether or not increased by VAT) by Jumping Talent Sale, the buyer, the seller and Jumping Talent Sale will agree the time and manner of the actual delivery of the horse. Unless agreed otherwise between Jumping Talent Sale, the seller and the buyer, the horse will be picked up by the buyer at the location of the owner. The actual delivery of the horse must in any event take place within fourteen (14) days after the buyer has paid everything he/she had to pay to Jumping Talent Sale under the agreement(s) concluded within the scope of the Auction. After these fourteen (14) days, the seller of the horse shall be entitled to charge the costs of stabling and maintenance of the horse to the buyer. If the horse is stabled at the location of Jumping Talent Sale, an amount of EUR 300.00 per month will be charged for the costs of stabling and maintenance of the horse to the buyer by Jumping Talent Sale directly.
  4. The buyer and the seller are required to notify Jumping Talent Sale in writing within seven (7) days after the horse was actually delivered to the buyer of such delivery.
  5. If desired, the buyer must take care of insurance of the horse for risks that may unexpectedly arise to the horse such as for, however not limited to, transport risks, disease, death, accident and (permanent) disability due to sickness, shortcomings or otherwise. Jumping Talent Sale shall not arrange for such insurance.

 

Article 7 – Liability

  1. Jumping Talent Sale shall not be liable for any damage resulting from the Auction and/or occasioned by or caused within the scope of the performance of the agreement, except in the case of intentional misconduct or gross negligence of Jumping Talent Sale.
  2. Jumping Talent Sale shall not be liable for the occurrence of damage due to any accident that happened in, on or in the vicinity of the sites or buildings where the horses can be inspected and/or tried out, except in the case of intentional misconduct or gross negligence of Jumping Talent Sale. Persons who access the sites and buildings of Jumping Talent Sale shall do so at their own risk.
  3. Jumping Talent Sale shall not be liable for damage caused by the provision of incorrect and/or incomplete information, regardless of the nature and size of such damage and the provided information and regardless of the origin of the information, except in the case of intentional misconduct or gross negligence of Jumping Talent Sale.
  4. If Jumping Talent Sale should be liable for any damage, then its liability is limited to the amount paid out in the specific case by the insurance company of Jumping Talent Sale plus the deductible under that insurance. 
  5. If and in so far as no payment should be made by the insurer of Jumping Talent Sale for any reason, its liability shall be limited to an amount not exceeding €2,500.00.

 

Article 8 – Compensation

A claim for damages expires in any case twelve (12) months after the buyer became familiar with the damage that has directly or indirectly resulted from an event or circumstance for which Jumping Talent Sale is or could be liable.

 

Article 9 – Third parties

  1. Jumping Talent Sale is free to make use of the services of third parties for the purpose of the agreement in the way considered necessary by it for the performance of the agreement. 
  2. Jumping Talent Sale shall not be liable for any shortcoming and/or mistake of such third parties, except in the case of intentional misconduct or gross negligence of Jumping Talent Sale.
  3. The buyer shall indemnify Jumping Talent Sale against third party claims. 

 

Article 10 – Force majeure

  1. In the case of force majeure, Jumping Talent Sale has at its own discretion the right to suspend the fulfilment of its obligations under the agreement or to terminate the agreement partially or entirely without judicial intervention by notifying the buyer hereof in writing and without the obligation of Jumping Talent Sale to pay any compensation in that case, unless this would be unacceptable in the circumstances by standards of reasonableness and fairness. 
  2. The term force majeure means, in accordance with Section 6:75 of the Dutch Civil Code, every shortcoming that cannot be attributed to Jumping Talent Sale, as it is not due to its fault and is not for its account by law, legal act or general practise. 

 

Article 11 – Personal data

For the conclusion and performance of the agreement, Jumping Talent Sale will request potential buyers or interested parties to provide their personal data. By registering on the Website, the potential buyer or interested party consents to the use and storage of their personal data, including the provision of personal data to the seller in order to be able to facilitate the sale and purchase agreement or to perform the sale and purchase agreement and to enable other obligations resulting from this. The personal data of potential buyers or interested parties shall be processed by Jumping Talent Sale in conformity with the General Data Protection Regulation. 

 

Article 12 – Applicable law and competent court

  1. The legal relationship between Jumping Talent Sale and the buyer, including any liability claims, shall be governed by Dutch law. 
  2. Any dispute arising from or relating to the legal relationship between Jumping Talent Sale and the buyer shall be resolved by the competent court in the judicial district of the District Court of Oost-Brabant (“rechtbank Oost-Brabant”), location ‘s-Hertogenbosch.
  3. These terms and conditions of auction are drafted in the Dutch and in the English language. In the case of a dispute with regard to the English version of these terms and conditions of auction or their translation, the Dutch version shall prevail.

VEILINGVOORWAARDEN YOUHORSE.AUCTION 2020

 

Artikel 1 – Aanmelding en deelname aan de veiling

  1. Youhorse.auction is een online veiling voor springpaarden (hierna te noemen “de Veiling”) welke wordt georganiseerd door de besloten vennootschap Jumping Talent Sale B.V., gevestigd te Waddinxveen (Nederland) en ingeschreven bij de Kamer van Koophandel onder het nummer: 61846082, e-mail: info@jumpingtalentsale.nl (hierna te noemen “Jumping Talent Sale”).
  2. De Veiling vindt plaats op de website www.youhorse.auction (hierna te noemen “de Website”). Op de website worden de data en de start- en sluitingstijd(en) van de Veiling gepubliceerd. Ook de duur van de Veiling wordt vooraf aangegeven op de Website. Indien in de laatste vijf minuten voor de aangegeven sluitingstijd van de Veiling een bod wordt uitgebracht, wordt de sluitingstijd (steeds) met vijf minuten verlengd. Definitieve sluiting vindt vervolgens plaats vijf minuten na het laatste bod.
  3. Jumping Talent Sale is geen eigenaar van de Paarden die op de Veiling worden aangeboden, tenzij dit uitdrukkelijk op de Website wordt vermeld. Jumping Talent Sale treedt op als een veiling service en biedt een platform waarop potentiële kopers dan wel geïnteresseerden de mogelijkheid krijgen om springpaarden rechtstreeks van de eigena(a)r(esse) te kopen. Jumping Talent Sale is geen partij bij de koopovereenkomst tussen de verkoper en koper, tenzij op de Website uitdrukkelijk wordt vermeld dat het Paard eigendom is van Jumping Talent Sale.
  4. De deelname aan de Veiling voor potentiële kopers is enkel toegestaan voor natuurlijke personen en rechtspersonen die zich vóór aanvang van de Veiling hebben geregistreerd op de Website, het bijbehorende vragenformulier naar waarheid hebben ingevuld en aldus beschikken over een account. 
  5. Deelname aan de Veiling impliceert dat de koper uitdrukkelijk en zonder enig voorbehoud akkoord gaat met deze veilingvoorwaarden en met de verschuldigdheid van de veilingkosten van 10% en 21% BTW (indien van toepassing) over de afslagprijs.
  6. De toepasselijkheid van eventuele algemene voorwaarden van de koper worden nadrukkelijk van de hand gewezen.
  7. De door Jumping Talent Sale geselecteerde paarden die tijdens de Veiling zullen worden aangeboden, zijn vóór aanvang van de Veiling te bezichtigen op de Website door middel van video’s en foto’s waarop de paarden (onder het zadel) te zien zijn. Ook wordt op de Website schriftelijk informatie verstrekt over de voornaamste kenmerken van de paarden (o.a. leeftijd, geslacht, kleur en afstamming).
  8. Het staat potentiële kopers dan wel geïnteresseerden vrij om de paarden voorafgaand aan de Veiling te bezichtigen en/of uit te proberen onder het zadel op de locatie van Jumping Talent Sale. Hiertoe dient op voorhand een afspraak te worden gemaakt via e-mail (info@youhorse.auction).

 

Artikel 2 – Het aanbod 

Kennelijke vergissingen of kennelijke fouten in het aanbod van de paarden, bijvoorbeeld als gevolg van verschrijvings- of drukfouten binden Jumping Talent Sale en de eigenaren van de paarden niet en hieraan kunnen geen rechten worden ontleend.

 

Artikel 3 – Biedingen en koop

  1. Biedingen en betalingen geschieden in EURO.
  2. Bij het uitbrengen van een bieding wordt degene op wiens naam het account is aangemaakt, geacht voor zichzelf te bieden en is hij/zij persoonlijk aansprakelijk voor de uit zijn/haar bieding voortvloeiende verplichtingen. Indien de bieder verklaart namens een derde te handelen, blijft hij/zij naast deze derde onverkort aansprakelijk jegens Jumping Talent Sale. 
  3. Tijdens de Veiling worden de paarden per opbod verkocht. 
  4. De biedstappen tijdens de Veiling zijn als volgt (de genoemde bedragen zijn exclusief BTW):

EUR 500,- per bod tot EUR 20.000,-

EUR 1.000,- per bod vanaf EUR 20.000,- tot EUR 40.000,-

EUR 2.000,- per bod vanaf EUR 40.000,- tot EUR 60.000,-

EUR 5.000,- per bod vanaf EUR 60.000,-.

  1. Indien gewenst kan Jumping Talent Sale starten met een openingsbod hoger dan EUR 0,-.
  2. Indien eenmaal een bod is uitgebracht op een paard blijft dit bod van kracht totdat een eventueel hoger bod is geaccepteerd.
  3. Indien de bieder de afslag krijgt toegewezen door de server van de Website komt de koop tot stand en is de bieder gehouden om de afslagprijs inclusief BTW (indien van toepassing) en de van toepassing zijnde veilingkosten te voldoen aan Jumping Talent Sale.
  4. Het door de koper te betalen bedrag wordt als volgt berekend:

Artkel 4 - Betaling

  1. Jumping Talent Sale stuurt de koper ter zake de Koopsom (al dan niet vermeerderd met BTW) een factuur. 
  2. Betaling van een factuur van Jumping Talent Sale dient steeds, zonder opschorting of verrekening, binnen zeven (7) dagen na de factuurdatum, welke termijn als fatale termijn geldt, te geschieden in de valuta waarin is gefactureerd op de bankrekening van Jumping Talent Sale met IBAN-nummer: NL21 INGB 0006 6723 69 ten name van Jumping Talentsale BV en Swiftcode: BIC INGBNL 2a.
  3. Indien de koper in gebreke blijft met de tijdige betaling van een factuur, dan is de koper van rechtswege in verzuim en is hij/zij een vertragingsrente verschuldigd van 1% per maand, waarbij een gedeelte van een maand voor één hele maand wordt gerekend.
  4. Alle gerechtelijke en buitengerechtelijke kosten die Jumping Talent Sale dient te maken ter invordering van haar facturen komen voor rekening van de koper. Buitengerechtelijke kosten worden aan de koper in rekening gebracht tegen een forfaitair tarief van 15% van het te incasseren bedrag met een minimum van EUR 250,00.

 

Artikel 5 – Aanvaarding van het paard 

  1. De paarden worden geveild “as is, where is” ofwel “in de staat waarin – en hoe en waar – ze zich bevinden” op het moment van de Veiling.
  2. Jumping Talent Sale verstrekt geen garantie ten aanzien van de gezondheidstoestand van de paarden en de toekomstige geschiktheid van de paarden voor de sport. Alle risico’s in dit verband blijven voor rekening van de koper.
  3. Voorafgaand aan de Veiling zijn de paarden klinisch en röntgenologisch gekeurd door een dierenarts in opdracht van de eigenaren van de paarden. De in dat kader gemaakte röntgenbeelden kunnen voorafgaand aan de Veiling op de Website door eenieder gedownload, bekeken en opgeslagen worden voor eigen gebruik. Aanvullend zijn de paarden in de week voorafgaand aan de Veiling nogmaals klinisch gekeurd door een dierenarts. De in dat kader opgemaakte rapporten van de klinische keuringen zijn eveneens voor eenieder toegankelijk en kunnen door eenieder geraadpleegd en gedownload worden op de Website en tevens worden opgeslagen voor eigen gebruik.

 

Artikel 6 – Levering en uitvoering

  1. Alle risico’s ten aanzien van het paard gaan terstond na toewijzing van het bod over op de koper.
  2. De eigendom van het paard gaat over op de koper op het moment dat de koper al hetgeen hij/zij verschuldigd is aan Jumping Talent Sale op grond van de in het kader van de Veiling gesloten overeenkomst(en) heeft voldaan.
  3. Na de Veiling en ontvangst van de Koopsom (al dan niet vermeerderd met BTW) door Jumping Talent Sale zullen de koper, de verkoper en Jumping Talent Sale het tijdstip en de wijze van de feitelijke levering van het paard overeenkomen. Tenzij anders overeengekomen tussen Jumping Talent Sale, de verkoper en de koper wordt het paard op de locatie van de eigenaar opgehaald door de koper. De feitelijke levering van het paard dient in ieder geval binnen veertien (14) dagen nadat de koper al hetgeen hij/zij verschuldigd is aan Jumping Talent Sale op grond van de in het kader van de Veiling gesloten overeenkomst(en) heeft voldaan, plaats te vinden. Na deze veertien (14) dagen is de verkoper van het Paard gerechtigd stallings- en verzorgingskosten bij de koper in rekening te brengen. Indien het Paard gestald staat op de locatie van Jumping Talent Sale, zal ter zake de stallings- en verzorgingskosten een bedrag van EUR 300,00 per maand rechtstreeks door Jumping Talent Sale bij de koper in rekening worden gebracht. 
  4. De koper en verkoper zijn gehouden binnen zeven (7) dagen nadat het Paard feitelijk is geleverd aan de koper, Jumping Talent Sale hiervan schriftelijk in kennis te stellen.
  5. De koper dient, indien gewenst, ter zake de zich mogelijk onverhoopt bij het paard voordoende risico’s zoals doch niet uitsluitend te noemen vervoersrisco’s, ziekte, dood, ongeval en (blijvende) ongeschiktheid door ziekte, gebrek of anderszins, een verzekering af te sluiten. Jumping Talent Sale draagt hier géén zorg voor.

 

Artikel 7 – Aansprakelijkheid 

  1. Jumping Talent Sale is niet aansprakelijk voor enige schade voortvloeiende uit de Veiling en/of veroorzaakt door of gemaakt in het kader van de uitvoering van de overeenkomst, behoudens opzet of grove schuld van Jumping Talent Sale.
  2. Jumping Talent Sale is niet aansprakelijk voor het ontstaan van schade door enig ongeval ontstaan in of in de nabijheid van de terreinen of gebouwen waar gelegenheid is tot het bezichtigen en/of uitproberen van de paarden, behoudens opzet of grove schuld van Jumping Talent Sale. Het betreden van de terreinen en gebouwen van Jumping Talent Sale geschiedt op eigen risico.
  3. Jumping Talent Sale is niet aansprakelijk voor schade veroorzaakt door verstrekking van onjuiste en/of onvolledige informatie, ongeacht aard en omvang van die schade en de verstrekte informatie en ongeacht de herkomst van de informatie, behoudens opzet of grove schuld van Jumping Talent Sale.
  4. Indien Jumping Talent Sale aansprakelijk mocht zijn voor enigerlei schade, dan is haar aansprakelijkheid beperkt tot het bedrag dat in het betreffende geval door de verzekeraar van Jumping Talent Sale wordt uitgekeerd, vermeerderd met het eigen risico onder die verzekering. 
  5. Indien en voor zover om welke reden dan ook geen uitkering krachtens de verzekeraar van Jumping Talent Sale mocht plaatsvinden, is haar aansprakelijkheid beperkt tot een bedrag van maximaal € 2.500,00.

 

Artikel 8 – Schadevergoeding 

Een aanspraak op schadevergoeding vervalt in ieder geval twaalf (12 maanden) nadat de koper bekend wordt met de schade, welke direct of indirect voortvloeit uit een gebeurtenis of omstandigheid waarvoor Jumping Talent Sale aansprakelijk is of zou kunnen zijn.

 

Artikel 9 – Derden 

  1. Ten behoeve van de overeenkomst is Jumping Talent Sale vrij om gebruik te maken van diensten van derden, zoals zij dat voor de uitvoering van de overeenkomst noodzakelijk acht. 
  2. Jumping Talent Sale is niet aansprakelijk voor enige tekortkoming en/of fout van deze derden, behoudens opzet of grove schuld van Jumping Talent Sale.
  3. De koper vrijwaart Jumping Talent Sale tegen vorderingen van derden. 

 

Artikel 10 – Overmacht 

  1. Jumping Talent Sale heeft in geval van overmacht het recht om, naar eigen keuze, de uitvoering van haar verplichtingen voortvloeiende uit de overeenkomst op te schorten, dan wel de overeenkomst zonder rechterlijke tussenkomst geheel of gedeeltelijk te ontbinden, zulks door dit schriftelijk mee te delen aan koper en zulks zonder dat Jumping Talent Sale gehouden is tot enige schadevergoeding, tenzij dit in de gegeven omstandigheden naar maatstaven van redelijkheid en billijkheid onaanvaardbaar zou zijn. 
  2. Onder overmacht wordt conform artikel 6:75 van het Burgerlijk Wetboek verstaan iedere tekortkoming welke niet aan de Jumping Talent Sale kan worden toegerekend, omdat zij niet te wijten is aan haar schuld, noch krachtens wet, rechtshandeling of de in het verkeer geldende opvattingen voor haar rekening komt. 

 

 

Artikel 11 – Persoonsgegevens

Voor de totstandkoming en het uitvoeren van de overeenkomst verzoekt Jumping Talent Sale potentiële kopers c.q. geïnteresseerden om persoonsgegevens. Door de registratie op de Website geeft de potentiële koper c.q. geïnteresseerde toestemming voor het gebruiken en opslaan van de persoonsgegevens, waaronder begrepen het verstrekken van persoonsgegevens aan de verkoper om zodoende de koopovereenkomst te kunnen faciliteren dan wel uitvoering van de koopovereenkomst en andere hieruit voortvloeiende verplichtingen mogelijk te maken. De persoonsgegevens van potentiële kopers c.q. geïnteresseerden worden door Jumping Talent Sale verwerkt conform de Algemene Verordening Gegevensbescherming. 

 

Artikel 12 – Toepasselijk recht en bevoegde rechter 

  1. Op de rechtsverhouding tussen Jumping Talent Sale en de koper, daaronder ook begrepen eventuele aansprakelijkstellingen, is Nederlands recht van toepassing. 
  2. Elk geschil dat voorkomt uit of verband houdt met de rechtsverhouding tussen Jumping Talent Sale en de koper zal worden beslecht door de bevoegde rechter in het arrondissement van de rechtbank Oost-Brabant, locatie ‘s-Hertogenbosch, die bevoegd is in eerste instantie van een geschil kennis te nemen. 
  3. Deze veilingvoorwaarden zijn in de Nederlandse en Engelse taal opgesteld. In geval van een geschil met betrekking tot de Engels versie van deze veilingvoorwaarden of de vertaling daarvan, prevaleert de Nederlandse versie.
